1. Agreement to Terms

By accessing or using Anena AI ("the Service"), operated by Valleue Digital Innovations Ltd, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all merchants, businesses, and users who access or use Anena AI. By creating an account, you confirm that you have the authority to bind your business to these Terms.

2. Description of Service

Anena AI is a SaaS platform that provides AI-powered sales and customer support assistants for ecommerce merchants on Shopify and WooCommerce. The Service enables merchants to automate customer interactions across messaging channels including WhatsApp, Instagram, Messenger, and Telegram.

Features include but are not limited to: AI-driven customer support, product recommendations, order management assistance, and multi-channel messaging integration.

3. Eligibility

To use Anena AI, you must:

• Be at least 18 years of age
• Be a registered business or operate as a legitimate merchant
• Have the legal authority to enter into this agreement on behalf of your business
• Not be located in a country subject to applicable sanctions or trade restrictions

4. Account Registration

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@anenaai.com if you suspect any unauthorised access to your account.

5. Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

• Use the Service to send spam, unsolicited messages, or harassing communications
• Violate any applicable laws, regulations, or third-party platform policies (including Meta's WhatsApp Business Policy)
• Use the Service to distribute malicious content, malware, or fraudulent material
• Attempt to reverse engineer, decompile, or extract the source code of the Service
• Resell, sublicense, or redistribute access to the Service without prior written consent
• Use the Service in a way that could damage, disable, or impair our infrastructure
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

6. Third-Party Integrations

The Service integrates with third-party platforms including Shopify, WooCommerce, Meta (WhatsApp, Instagram, Messenger), Telegram, and others. Your use of these integrations is subject to the respective terms and policies of those platforms.

We are not responsible for the actions, availability, or content of third-party platforms. Changes to third-party APIs or policies may affect the functionality of the Service, and we will endeavour to adapt accordingly but cannot guarantee uninterrupted compatibility.

7. Subscription and Payment

Access to certain features of the Service requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis depending on your chosen plan.

• All fees are non-refundable except as required by law or as stated in our refund policy
• We reserve the right to change pricing with 30 days' notice
• Failure to pay may result in suspension or termination of your account
• You are responsible for all taxes applicable to your subscription

8. Intellectual Property

The Service, including its design, software, algorithms, and content, is owned by Valleue Digital Innovations Ltd and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.

You retain ownership of your data and content. By using the Service, you grant us a limited, non-exclusive licence to process your data solely for the purpose of providing the Service to you.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• AI-generated responses will be accurate, complete, or suitable for any particular purpose
• The Service will meet your specific business requirements

AI responses are generated automatically and should be reviewed periodically. We are not liable for any business decisions made based on AI-generated content.

11. Limitation of Liability

To the maximum extent permitted by law, Valleue Digital Innovations Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the three months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Valleue Digital Innovations Ltd and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights or platform policies
• Content or data you provide through the Service

13. Termination

Either party may terminate this agreement at any time. You may cancel your account through the dashboard or by contacting us at support@anenaai.com.

We reserve the right to suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to use the Service ceases and we may delete your data in accordance with our Privacy Policy.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Valleue Digital Innovations Ltd is registered. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

15. Changes to Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top. Material changes will be notified to merchants by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
